Next steps for your company formation documents once signed, where to find and download

The legally required documents are to be signed within 21 days of your company being registered by the director & secretary of your company and relevant shareholders

Where are the Company Documents?

You can find these documents in your Company Dashboard and select the 'Company Formation Documents' folder.

These are automatically available to download for users who selected a Company Compliance set-up package.

Who needs to sign?

The documents will need to be signed by the Officeholders and relevant Shareholders as outlined in the document.

If your company has:

  • More than 2 Directors and a Secretary, only 2 Directors will need to sign

  • 1 Director, and 1 Secretary (who are different people), both will need to sign where two spaces show

  • If there is only 1 Director who is also Secretary, then they will only need to sign once as Director

  • No Secretary and only 1 Director then the second space can be left blank

How do I sign them?

These documents can be downloaded by hitting the download icon and wet signed. Alternatively, you can use a legally binding eSignature to send directly to the required parties.*

Send documents for eSignature

You can now send all documents to the relevant parties by using the 'Send all for eSignature' feature.

  • Select 'send all for eSignature'

  • Add the email addresses of the directors and shareholders as listed

  • Select 'send all requests' and they will automatically receive all documents they need to sign.

  • To Send individually, find the document you wish to send and choose 'send for eSignature'

Where do they need to go?

Once the documents are signed, they do not need to be sent anywhere. Lawpath has submitted the documents to ASIC and relevant parties, these are for your internal processes and compliance purposes.

  • The documents just need to be kept on record unless they are requested to be seen by ASIC or your company is audited.

  • You can keep a signed digital copy or a signed hard copy for auditing purposes

You can upload your signed documents to your Lawpath document folder to manage and keep all your documents in one place, but is not a requirement.

Find my Signed Company documents

  • Once signed, the documents will appear in your Company Documents, and move into the corresponding folders

  • You can move these documents into folders as you wish

  • These will have the document status 'Sign Completed' in green

Download all documents

You can download all company documents by selecting the 3 dot menu and choosing 'download company documents'.

This will download unsigned copies of the Company Documents

You will be prompted to download a zip folder. Please click on "Save" to initiate the download.
Upon opening the folder, you will find both PDF and DocX versions of all company documents.

What are my Company Documents?

Company Documents are documents you will need to legally run your business. These will required to show at various stages of your business, including setting up a bank account and upon request for compliance and auditing by ASIC.

These are broken into 4 categories- Shareholder Documents, Officeholder Documents, Compliance Documents and Supporting Documents

Shareholder Documents:

  • Resolution of Members

  • Application for Shares

  • Share Certificates

Officeholder Documents:

  • Consent To Act as Officeholder

Compliance Documents:

  • ASIC Agent Form

Supporting Documents:

  • Certificate of Company Registration

  • Company Constitution

  • Occupier Consent Form

  • Allotment Journal

  • Register of Members

  • Application for Shares (template)

  • Register of Charges

  • Register of Debentures

  • Share Transfer Journal

  • Letter to Commissioner of Taxation

  • Letter to Bank Manager

Why can't I eSign?
