All Australian directors are legally required to abide by a set of duties, called directors duties. There are roughly 6 duty categories, including the duty of care and diligence, to act in good faith and with proper purpose, the duties to avoid conflicts and insolvent trading, as well as the duties to not misuse their position or confidential information. Each duty outlines what directors can and can’t do by law.
